Retainer Services – Terms and Conditions

These Retainer Services Terms and Conditions ("Retainer Terms") govern all monthly retainer-based consulting services provided by Need to Talk Marketing Consultancy LLC ("NTT", "Consultant") to clients ("Client", "you"). These Terms supplement NTT's General Terms and Conditions.

1 Retainer Engagement Structure

1.1 Nature of Retainer Services

A retainer engagement provides Client with ongoing access to Consultant's strategic marketing expertise and advisory services on a recurring monthly basis.

1.2 Retainer Term

  • Term specified in the SOW or quotation
  • May include automatic renewal
  • Non-renewal notice: 30 days (up to 6 months), 60 days (1–2 years)

2 Scope of Retainer Services

2.1 Core Retainer Services

Monthly retainer includes:

  • Content strategy + editorial calendar
  • Channel strategy (LinkedIn, social media)
  • Partnership & collaboration strategy
  • Implementation guidance
  • Monthly reporting & reviews
  • Ad-hoc consultation
  • Email support (business hours)

2.2 Exclusions

Retainer does NOT include:

  • Social media management
  • Content creation
  • Photography / videography
  • Media buying
  • Third-party vendor payments
  • Software subscriptions
  • Travel expenses
  • Website development
  • Email marketing management
  • Paid advertising management

2.3 Additional Services

Can be added with separate pricing.

3 Payment Terms

3.1 Monthly Retainer Fee

Fees remain fixed during the initial term unless otherwise agreed.

3.2 Payment Schedule

  • Invoice: 25th of each month
  • First payment: upon signing
  • Monthly payment due: 1st of each month
  • Payment deadline: 3–5 days

3.3 Late Payment

  • 2% monthly late fee
  • Suspension after 15 days overdue
  • Termination after 30 days overdue
  • Services resume within 48 hours after payment

4 Retainer Management

4.1 Priority Access

  • Faster response times
  • Priority scheduling
  • Preferred rates

4.2 Communication Protocols

  • Email support (Mon–Fri, 10AM–5PM UAE)
  • Response time: 24–48 hours
  • Out-of-hours support not included

5 Retainer Adjustments

5.1 Fee Adjustments

  • Fixed during initial term
  • Renewal fee changes require 60-day notice

5.2 Scope Adjustments

Must be mutually agreed in writing.

5.3 Unused Services

No carry-over month to month.

6 Term and Termination

6.5 Early Termination Fee

  • 50% of remaining contract value

7 Client Responsibilities

7.1 Primary Point of Contact

Client must assign one authorized decision-maker.

8 Confidentiality

Confidentiality obligations last 3 years.

9 Limitation of Liability

Liability is capped at 2× the monthly retainer fee.

10 General Provisions

These Terms are governed by UAE law (Dubai Courts jurisdiction).

11 Acceptance

By accepting services, Client agrees to these Terms.
