Retainer Services Terms & Conditions
These Retainer Services Terms and Conditions govern all monthly retainer-based consulting services provided by Need to Talk Marketing Consultancy LLC. They should be read in conjunction with our general terms and conditions and any applicable Statement of Work (SOW) or quotation.

1. Retainer Engagement Structure
Nature of Retainer Services
A retainer engagement provides ongoing access to strategic marketing expertise on a recurring monthly basis.
Retainer Term
- Defined in the SOW or quotation
- May include automatic renewal
- Termination notice: 30 days (up to 6 months) or 60 days (1–2 years)
2. Scope of Retainer Services
Core Services
- Content strategy & editorial planning
- Channel strategy (LinkedIn, digital presence)
- Partnership strategy
- Implementation guidance
- Monthly reporting & reviews
- Strategic consultation
- Communication support
Service Exclusions
- Content creation
- Social media management
- Paid ads management
- Vendor payments
- Software subscriptions
- Website development
- Production services
Additional Services
Additional services may be provided separately based on agreement.
3. Payment Terms
Monthly Fee
Defined in SOW / quotation.
Payment Schedule
- Invoice: 25th of each month
- Payment due: 1st of month
- First payment: upon signing
Late Payment
- 2% monthly fee
- Suspension after 15 days
- Termination after 30 days
4. Retainer Management
Priority Access
- Faster response
- Priority scheduling
- Preferred rates
Communication
- Business hours: Mon–Fri (10 AM – 5 PM UAE)
- Response: 24–48 hours
5. Retainer Adjustments
Fee Adjustments
- Fixed during initial term
- Adjustable on renewal
Scope Changes
Must be agreed in writing.
Unused Services
- Do not carry forward
- No refunds
6. Term and Termination
Termination
- With notice (30–60 days)
- For breach (15 days notice)
Early Termination
50% of remaining contract value.
7. Client Responsibilities
- Provide timely feedback
- Assign point of contact
- Responsible for implementation
8. Confidentiality
- All data treated as confidential
- Portfolio use allowed with approval
- Valid for 3 years after termination
9. Limitation of Liability
- Liability capped at 2x monthly fee
- No guarantee of results
- Not responsible for third-party vendors
10. General Provisions
- Governed by UAE law
- Independent contractor relationship
- Written amendments required
11. Acceptance
By engaging services, the client agrees to these terms.
