General Terms & Conditions

These General Terms and Conditions govern all consulting services provided by Need to Talk Marketing Consultancy LLC. They apply to all engagements, proposals, statements of work (SOW), and quotations unless otherwise agreed in writing.

1. Scope of Services

Service Delivery

Services are defined in the Statement of Work (SOW), proposal, or quotation.

Professional Standards

All services are delivered in accordance with industry best practices.

Exclusions

  • Social media management
  • Photography / videography
  • Advertising spend
  • Vendor procurement
  • Software subscriptions
  • Travel expenses

2. Term and Termination

Engagement Term

Defined in the SOW.

Termination

  • 30 days notice (convenience)
  • 15 days (for breach)

Early Termination

50% of remaining contract value.

3. Payment Terms

Invoicing

Defined in SOW or milestones.

Payment

  • Due within 15 days

Late Payment

  • 2% monthly fee
  • Suspension after 15 days
  • Termination after 30 days

4. Intellectual Property

Ownership

  • NTT retains methodologies
  • Client receives usage license

Portfolio Use

Allowed with approval and without confidential data.

5. Confidentiality

Both parties agree to protect confidential information.

Duration

Valid for 3 years after termination.

6. Representations & Warranties

Consultant

  • Qualified
  • Compliant
  • Professional

Client

  • Provides accurate data
  • Has rights to materials

Disclaimer

No guarantee of results.

7. Limitation of Liability

Liability Cap

Limited to fees paid in last 12 months.

Exclusions

  • No indirect damages
  • No responsibility for vendors

8. Indemnification

Each party protects the other from legal risks caused by their actions.

9. Independent Contractor

NTT operates independently—not as employee or partner.

10. Force Majeure

Delays caused by external events are not considered breaches.

11. Dispute Resolution

  • Good faith negotiation first
  • UAE law applies
  • Dubai courts jurisdiction

12. Data Protection

  • Compliance with UAE data laws
  • Secure data handling
  • Data return or deletion upon termination

13. General Provisions

  • Entire agreement applies
  • Changes must be in writing
  • Invalid clauses do not affect others

14. Acceptance

By engaging services, the client agrees to these terms.
